Capital Stock

The capital stock of Bemobi equals R$ 1,277,508,722.55 and is represented by 90,909,092 common shares with no nominal value.

Reverse Share Split

On October 13, 2020, an Extraordinary Shareholders Meeting approved the reverse share split of 18,339,103,855 (eighteen billion, three hundred and thirty-nine million, one hundred and three thousand, eight hundred and fifty-five) shares issued by the Company, in keeping with article 12 of the Brazilian Corporate Law, at the ratio of 445,3782365 (four hundred and forty-five point three million, seven hundred and eighty-two thousand, three hundred and sixty-five tenths of a millionth) shares to 1 (one) share following the reverse split, without changes to the capital stock value, consolidating the number of shares that compose the capital stock of the Company at 41,176,470 (forty-one million, one hundred and seventy-six thousand, four hundred and seventy) common shares, without nominal value, disregarding any fractions.

Book Entry Shares

Book entry shares are shares maintained in deposit accounts on behalf of their holders, without the issuance of certificates, at an institution duly authorized by the CVM to provide this type of service.

In order for a Bemobi shareholder to receive dividends that he or she may be entitled to, it is fundamental that he or she maintains his or her data up to date, informing of any change in address or bank details for the purpose of crediting dividends. This update shall be made by the shareholder at any Banco Itaú branch (the financial institution that administers book entry shares issued by Bemobi) holding his or her CPF taxpayer’s registration, identity card, proof of address and proof of bank account, or through other customer service channels.

Right to Dividends

5% (five percent) of the net income of the fiscal year shall be transferred to legal reserve until the legal limits are met. Regarding the balance: (a) 25% (twenty-five percent) shall be transferred to the payment of mandatory dividend and (b) the remaining income may be (i) retained based on capital budget pursuant to Article 196 of Law no. 6404/76 and/or (ii) transferred to the statutory reserve named “Investments Reserve,” which shall ensure the maintenance of the level of capitalization, the expansion of social activities and/or to beef up the working capital at the Company, its controlled companies and/or related companies. The balance of profit reserves, with the legal exceptions, shall not exceed the capital stock. The balance for net income, if any, that is not transferred as mentioned above shall be capitalized or paid to shareholders as dividend.

Voting Right

The holders of this type of share have the right to vote at General Meetings, in addition to profit sharing — i.e., holders can participate in the management of the company by means of voting.

Right of capital reimbursement

Under the circumstances lawfully permitting the right of withdrawal for shareholders dissenting from the deliberation of the General Meeting, the reimbursed amount shall be based on the shareholders’ equity on the last balance sheet approved at a General Meeting, in compliance with Article 45 of Law no. 6404/76.

Conditions to amend the rights warranted by such securities
Pursuant to the Brazilian Corporate Law, the bylaws, the decisions made at General Meetings cannot restrict the rights of shareholders (i) to profit sharing, (ii) to participate in the Company’s assets in case of liquidation; (iii) to oversee the management of the Company in keeping with the Brazilian Corporate Law; (iv) right of preference for the subscription of shares, bonds convertible into shares and subscription bonus, save in certain circumstances provided for in the Brazilian Corporate Law; and (v) to leave the Company in the cases provided for in the Brazilian Corporate Law.

Conditions for changing the rights ensured by such securities

According to the Brazilian Corporation Law, the Bylaws, the resolutions taken at the General Meeting cannot deprive shareholders of the rights to (i) participate in the social profits, (ii) participate in the Company’s assets, in the event of liquidation; (iii) inspect the Company’s management, under the terms of the Brazilian Corporation Law; (iv) preference for the subscription of shares, debentures convertible into shares and subscription bonus, except in certain circumstances provided for in the Brazilian Corporation Law; and (v) withdraw from the Company in the cases provided for in the Brazilian Corporation Law.

Other relevant characteristics
